Effective 2026-10-15 · D5STUDIO LLC

Hi5Tennis Terms of Service

These terms govern your use of Hi5Tennis with D5STUDIO LLC, together with the Privacy Policy and in-product season rules. Sections 14 (assumption of risk), 15 (limitation of liability) and 17 (arbitration and class action waiver) affect your legal rights — please read them carefully.

1. What Hi5Tennis Is

Hi5Tennis is an operating tool for local amateur tennis across Casual play and Flex Leagues, provided by D5STUDIO LLC ("we", "us"). It is not a general social network. It offers no follow feed or photo/video posts. One-to-one direct messages are not available yet; once available, they will be limited plain text (≤200 characters, deleted after 24 hours). Other communication is limited to the scoped, expiring pre-match notices, Team Notices, Broadcasts, Team Stream and Match Threads that the app offers.

We are not a league operator, venue operator, coaching provider, insurer or payment processor. Leagues are organized and run by Organizers at their own responsibility; matches take place at third-party venues; league entry fees and sponsorship funds settle off-platform. We provide software tools only, and no employment, agency, partnership or joint-venture relationship is created between us.

2. Eligibility

  • The app is for users aged 18 or older. When you register you must give your real date of birth and confirm that you are 18 or over; a false date of birth breaches these Terms.
  • We do not knowingly provide accounts to, or collect personal information from, anyone under 18 (including children under 13 as defined by US COPPA). Accounts found to belong to anyone under 18 will be disabled and the related data deleted.
  • There is no guardian-consent or managed-registration flow; nobody under 18 may use the service in any way.

3. Accounts, Roles and Access

  • Every new account starts as a free Player. Join a team through a Captain deep link, QR code or invite code; become a free Captain for a specified Team/Season through an Organizer upgrade link or code.
  • At sign-up you must affirmatively accept the current version of these Terms and the Privacy Policy. The system records that you accepted them, and when, as a compliance audit record.
  • Invite links and codes are equivalent. Authentication and server checks for expiry, uses and quotas are required; repeated confirmation is idempotent.
  • Each team/season may have one Co-Captain. Co-Captains may manage lineups, Drill Calls, Live Score, results, Match Threads and permitted team notices, but may not transfer captaincy, dissolve the team, delete season records, edit affiliate bindings or expand conduct-record sharing.
  • Server-enforced quotas: Casual squad ≤8, each user ≤8 squads, League roster ≤48; Organizer quotas follow the 8×8 or 16×16 plans.
  • You are responsible for keeping your credentials confidential and for activity conducted through your account.

4. Organizer Subscriptions, Auto-Renewal and Refunds

  • Players and Captains are free. Organizer Standard is $39.99/year (8 leagues × 8 teams); Advanced is $59.99/year (16 leagues × 16 teams).
  • Automatic renewal: your subscription renews automatically for another year at the then-current price 24 hours before the end of the current period unless you cancel at least 24 hours before that date in your Apple ID or Google Play account settings. Charges are applied to your store account at purchase confirmation.
  • Cancellation and refunds: subscriptions are managed and cancelled in your Apple ID or Google Play account settings; we cannot cancel on your behalf. Refunds are handled by Apple or Google under their policies. Except where required by law, fees for an active period are non-refundable.
  • Price changes: price changes are notified under store rules and take effect on your express consent or on renewal after the notice period.
  • EU/UK consumer withdrawal: where applicable you have a 14-day right of withdrawal. If you request immediate access to digital content and acknowledge the loss of that right, it lapses once the service has been fully performed.
  • A free trial, where offered, converts to a paid subscription if not cancelled before it ends.
  • The Hi5Tennis team may set up leagues in advance and manage them without an Organizer subscription. Such a league is not counted in the yearly league allowance of an Organizer plan until it goes live; when it goes live follows our product rules.
  • Subscription entitlements are non-transferable and have no cash value, and apply only during the subscription term.

5. League Fees and Off-Platform Collection

  • League entry fees, court fees and ball fees are collected off-platform by the Organizer or Captain directly from participants. Hi5Tennis does not collect, escrow, split or take commission on them and is not a payment processor, money transmitter or escrow agent.
  • In-app fee dashboards, payment QR display, remark codes and "I have paid" self-reports are bookkeeping and reconciliation aids only. They are not proof of payment and do not mean we have verified that funds were received.
  • A Captain or Organizer who uploads a payment QR code represents that they lawfully own or control the receiving account, and is solely responsible for refunds, invoicing, tax reporting, consumer-protection and money-transmission compliance.
  • Payment QR codes and fee broadcasts may be used only for competition-related fees of that team or league. They may not be used for donations, fundraising, selling goods, collecting funds for third parties or any purpose unrelated to league operations.
  • Leagues must disclose the amount, purpose, deadline and refund rules before collecting fees. Refunds are executed by the collecting party.
  • Any dispute arising from off-platform collection (non-receipt, duplicate payment, refused refund) is resolved between the paying and collecting parties. We may provide relevant audit logs on request but do not adjudicate, guarantee or compensate.

6. User Content, Licence and Intellectual Property

  • You are responsible for notices, notes, recaps, conduct records and Match Thread text. No unlawful, harassing, discriminatory, defamatory, infringing, fraudulent or spam content.
  • You retain your rights in your content. To operate the service you grant us a non-exclusive, worldwide, royalty-free, sublicensable licence to store, reproduce, transmit, display and automatically delete that content within the visibility scope you set. The licence ends when the content is deleted or its retention period expires.
  • Anyone uploading an avatar, team mark or sponsor brand asset represents that they hold the necessary rights or authorization and accepts responsibility for third-party claims.
  • A Match Thread is bound to one match: ≤200 characters per message, ≤20 messages per user per match, no photos/video/stickers, deleted 24 hours after the match, and not a social timeline.
  • Pre-match notices are creator-only, ≤8 per fixture and ≤200 characters each. Drill Call "Out" is not a KPI and may not be used for public shaming.
  • The Hi5Tennis name, marks, interface, software and aggregate data belong to D5STUDIO LLC. No rights are granted other than those expressly stated here. You may not reverse engineer, scrape, circumvent quotas or server-side validation, or use the service to build a competing product.
  • Suggestions and feedback you voluntarily submit may be used by us without restriction or compensation.

7. Conduct Records and Appeals

  • Captains may create conduct records describing objective facts that have occurred (no-show, unpaid fees, mid-season withdrawal, breach of on-court conduct rules). The author must act in good faith and truthfully, and confirms that the entry is a statement of fact rather than an opinion, assumption or personal attack.
  • Conduct records are visible by default only to Captains and Organizers of the same team and league, and are shared only as far as necessary. They may not be published, may not spread across leagues, and Co-Captains cannot expand their sharing scope.
  • A person named in a conduct record has the right to access the content of records about them as described in the Privacy Policy, and may ask the Organizer to correct the record, add their own statement, or delete it. The Organizer must respond within a reasonable time and the outcome is written to the audit log.
  • Conduct records are an internal league-operations reference. They are not a credit report, background check or assessment of personal character, and may not be used for employment, credit, housing, insurance or other FCRA-type purposes.
  • Malicious, retaliatory or knowingly false records breach these Terms and may result in deletion of the record and restriction of the author's permissions. Third-party claims arising from such records (defamation, privacy and similar) are the author's responsibility and are indemnified to us under Section 16.
  • We do not review, verify or endorse the accuracy of conduct records. We provide storage and permission-scoped display only.

8. Invites, Affiliate Links and Broadcast Compliance

  • Custom codes are 4–12 alphanumeric characters and globally unique; deep-link tokens are high-entropy opaque strings.
  • Affiliate links must use https and show a "Referral link/ad" disclosure; destinations matching the operations blocklist are rejected.
  • Organizer Broadcast Modes B/D include Players and must automatically strip affiliate links. Only Modes A/C with Captains-only audiences may include them.
  • Users who use affiliate links or receive promotional compensation are responsible for complying with local advertising and endorsement-disclosure rules (such as the US FTC Endorsement Guides, 16 CFR Part 255) and for their own income reporting and tax obligations.
  • Third-party goods and transactions are the merchant's responsibility; Hi5Tennis makes no warranty.

9. League Sponsorship and Commercial Partnerships

  • When the feature flag is enabled, Organizers may register season-scoped sponsors, packages, category exclusivity, off-platform cash/in-kind reference value, placement rights, delivery checklists and aggregate performance reports.
  • Each season may have at most one Presenting Partner. Community, venue, equipment, recovery/health or hospitality partners may be configured by category. Any exclusivity must state its term, territory and scope in the agreement.
  • All sponsor content must be labeled "League Sponsor / Sponsored." Sponsors receive no player personal data or direct-contact rights and may not require Captains or Players to promote them.
  • Alcohol, tobacco/nicotine, gambling, weapons, restricted drugs, adult content and other operations-blocked categories are prohibited.
  • Sponsored notices may be sent within one league only, defaulting to no more than one every 14 days with an expiry of no more than 72 hours. Cross-league sponsored blasts are prohibited. Passive sponsor placements are not chat or a social feed.
  • The Organizer is responsible off-platform for brand rights, contracting, payment, tax treatment, in-kind valuation, venue permissions and offline fulfillment. Hi5Tennis does not collect, escrow, split or take commission on sponsor funds and may reject restricted categories, misleading content, blocked domains or undisclosed commercial content.
  • Sponsor reporting is based on aggregate impressions, clicks, offer saves, delivery completion and sponsor-reported redemptions. It is not a sales guarantee or independent audit.

10. Scheduling, Scores, Standings and Disputes

  • Fixture coordination defaults to opening 10 days before the round and a hard deadline 72 hours before play. The season may lock the latest proposal, escalate to Captains then lock, or escalate to the Organizer.
  • Scores require dual confirmation. Completed, retired and defaulted outcomes are validated under season rules. Disputed matches are suspended from standings until a ruling triggers full recomputation.
  • Full lineup building happens on mobile: line-by-line selection, NTRP validation, confirmation and audited replacements within two hours of the start.
  • An Organizer ruling is an internal league-operations decision effective only for that league's standings and records. It is not a legal determination, arbitral award or finding of fact. We do not participate in, review or overturn league rulings and are not responsible for their outcome.

11. Copyright and DMCA Notices

We respect intellectual property rights. If you believe in good faith that content on the service infringes your copyright, you may send a written notice to our designated agent under the US Digital Millennium Copyright Act (17 U.S.C. §512) containing: (1) the (electronic) signature of the copyright owner or authorized representative; (2) identification of the work claimed to be infringed; (3) identification of the allegedly infringing material and where it is located (league, team, record or asset identifier); (4) your name, address, telephone number and email; (5) a statement that you believe in good faith that the use is not authorized by the copyright owner, its agent or the law; and (6) a statement, under penalty of perjury, that the information is accurate and that you are authorized to act on the owner's behalf.

D5STUDIO LLC is the service provider for the websites operated under this entity, including but not limited to d5studio.pro, hi5tennis.com, and other related domains. Designated Agent to receive notifications of claimed infringement under the Digital Millennium Copyright Act (17 U.S.C. § 512):

Please put "DMCA Notice" in the subject line. This information matches our registration in the US Copyright Office DMCA Designated Agent Directory.

On receipt of a valid notice we will promptly remove or disable the material and notify the poster, who may submit a counter-notification under §512(g). We maintain a policy of terminating, in appropriate circumstances, the accounts of repeat infringers. A knowingly false notice or counter-notification carries liability under §512(f).

12. Prohibited Conduct, Suspension and Termination

  • Prohibited: falsifying scores, abusing the dispute process, malicious or retaliatory conduct records, false or abusive reports, circumventing quotas or server-side validation, forging or reselling invite codes, scraping or bulk-exporting other people's data, uploading malicious code, impersonation, harassment or discrimination, and using the service to collect money or promote anything unrelated to amateur tennis operations.
  • Reporting: you may report a player you find in Find Players for an inappropriate name or photo, harassment, pretending to be someone else, or something else. Reports are handled by our moderator, and the reported player is not told who reported them. To prevent abuse, each account may make at most 2 reports a day and 50 Find Players searches an hour.
  • Moderation in Find Players: the moderator may dismiss a report, pause a player in Find Players (they cannot turn "Let nearby players find me" back on until restored), remove their profile photo, or restore them. After a photo is removed, a new one can be added, as always, once 6 months have passed since the last photo change.
  • Where you breach these Terms, applicable law or league rules, we may — proportionately — warn you, restrict features, revoke Captain or Organizer roles, suspend or terminate the account, and notify the relevant Organizer where necessary. Cases involving personal safety, fraud, illegality or urgent risk may be actioned immediately.
  • Except where law requires otherwise, when we suspend or terminate an account we will state the reason and provide an appeal route (support@hi5tennis.com). A pause in Find Players or a photo removal is not an account suspension, and the app gives no reason for it; you may ask about it at support@hi5tennis.com.
  • You may stop using the service and delete your account in the app at any time. After termination, fees for an active subscription period are non-refundable (except where required by law), and league records such as scores and lineups are kept as the Privacy Policy describes, to preserve completed-season integrity.
  • Sections 6, 7, 11, 14, 15, 16, 17, 18 and 20, and any provision that by its nature should survive, remain in effect after termination.

13. Retention, Export and Deletion

Season scores, standings and audit records are kept with their league, with no automatic deletion by time at present. Captains and Organizers may delete records within scope after the season; deletion is irreversible. Match Threads, notices, Team Stream and Drill Call data follow their shorter automatic-deletion rules. Agreement consent records are kept for the life of the account and deleted with it; records we are legally required to keep (tax, disputes, copyright notices) are retained as described in the Privacy Policy and for the applicable statutory period. Find Players blocks, reports and report mails are kept as described in the Privacy Policy. See the Privacy Policy for details.

14. Assumption of Risk and Release for Offline Activity

Please read this section carefully. It affects your legal rights.

  • Tennis is a physical activity that carries a risk of injury. You confirm that you are physically fit to participate and voluntarily assume all risks of participating in, travelling to or from, or spectating at matches, practices, drills and league-related activities — including sprains, fractures, heat illness, cardiac events, court defects, weather conditions, equipment failure, and personal injury, disability, death or property loss caused by the conduct of others.
  • To the maximum extent permitted by law, you release, waive and agree not to sue D5STUDIO LLC and its members, officers, employees, contractors and affiliates (the "Released Parties") in respect of any claim arising from those risks, including claims based on the Released Parties' ordinary negligence. This release does not apply to the Released Parties' gross negligence, willful misconduct or fraud, nor to liability that may not be released as a matter of law (including personal injury or death caused by negligence in some jurisdictions).
  • Matches take place at third-party venues. Venue safety, insurance, permits and facility condition are the responsibility of the venue and the Organizer. We do not inspect them and give no assurance about them.
  • Organizers and Captains should assess independently whether their league needs liability insurance. The in-app waiver acknowledgement does not replace a league's own written waiver and risk-disclosure documents, nor any documents a venue requires participants to sign.
  • Some jurisdictions limit the enforceability of releases; in those jurisdictions this section applies to the maximum extent permitted.
  • We do not provide medical, fitness or injury advice. Consult a qualified physician before participating if you have any health concerns.

15. Disclaimers and Limitation of Liability

The service is provided "as is" and "as available." To the maximum extent permitted by law we disclaim all express and implied warranties, including merchantability, fitness for a particular purpose, non-infringement, uninterrupted or error-free operation, and we do not warrant the accuracy, completeness or availability of scores, standings, availability data, conduct records, fee bookkeeping or third-party content.

To the maximum extent permitted by law we are not liable for indirect, incidental, special, punitive or consequential damages, including loss of profits, goodwill, data, opportunity or cost of substitute services, whether in contract, tort or otherwise, and whether or not we were advised of the possibility.

To the maximum extent permitted by law, our total aggregate liability arising out of or relating to these Terms or the service will not exceed the greater of (a) the total subscription fees you actually paid us in the 12 months before the event giving rise to the claim, and (b) US$100.

These exclusions and limits do not apply to our gross negligence, willful misconduct or fraud, or to liability that cannot be excluded or limited by law (including personal injury or death caused by negligence in some jurisdictions). Some jurisdictions do not allow the exclusion of implied warranties or the limitation of incidental or consequential damages, so parts of this section may not apply to you and you may have additional rights.

16. Indemnification

To the extent permitted by law, you agree to defend, indemnify and hold harmless D5STUDIO LLC and its members, officers, employees and contractors from and against third-party claims, losses, liabilities, fines, judgments and reasonable legal fees arising out of or relating to: (a) your breach of these Terms, the Privacy Policy or applicable law; (b) content, conduct records, notices, broadcasts or sponsor assets you publish; (c) league fees or sponsorship funds you collect or pay off-platform and the related tax and refund obligations; (d) offline activity you organize, join or permit others to join; and (e) your infringement of another person's intellectual property, privacy or reputation rights. We may elect to control the defence, and you will cooperate reasonably. You may not settle any matter involving us without our prior written consent.

17. Dispute Resolution, Arbitration and Class Action Waiver

Please read carefully: this section requires binding individual arbitration and waives your rights to a jury trial and to participate in a class action.

  • Informal resolution first: send any dispute in writing to support@hi5tennis.com. The parties will attempt to resolve it in good faith within 30 days.
  • Binding arbitration: if informal resolution fails, and except as set out below, the dispute will be resolved by individual arbitration before a single arbitrator administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, seated in the State of Texas, USA, governed by the Federal Arbitration Act. Depending on the amount and the applicable rules, arbitration may be conducted on documents, by telephone or by video.
  • Exceptions: claims within the jurisdiction of a small-claims court, and requests for injunctive relief to stop intellectual-property infringement or abuse, may be brought without arbitration.
  • Class action and jury waiver: the parties bring claims only in an individual capacity and not as a member or representative in any class, consolidated or representative proceeding, and each waives the right to a jury trial. If this waiver is held unenforceable as to a particular claim, this arbitration section does not apply to that claim.
  • Opt-out: within 30 days of first accepting these Terms you may opt out of this arbitration and class-waiver section by emailing support@hi5tennis.com with your account email and a statement that you opt out of arbitration. Opting out does not affect the rest of these Terms.
  • Where the law of your jurisdiction (including the EU, UK and certain consumer situations) prohibits such arbitration or waiver, it does not apply to you and you keep your right to bring proceedings in your local competent courts and to use local consumer dispute-resolution mechanisms.

18. Governing Law and Venue

These Terms are governed by and construed under the laws of the State of Texas, USA, without regard to its conflict-of-laws rules and excluding the UN Convention on Contracts for the International Sale of Goods. Disputes not subject to Section 17, or where the arbitration provision does not apply, are subject to the exclusive jurisdiction of the state and federal courts located in Texas, and the parties consent to personal jurisdiction there and waive any objection based on forum non conveniens.

Nothing in this section deprives you of the protection of mandatory consumer-protection laws of your country of habitual residence, or of your statutory right to bring proceedings in your local courts.

19. Apple and Google App Store Terms

Scope of licence: on Apple platforms you receive a non-transferable licence to use the app only on Apple-branded products that you own or control and as permitted by the Apple Media Services Usage Rules, except for Family Sharing or volume purchasing where those rules allow. When using the app you must also comply with applicable third-party agreements, including device, network and store-service terms.

  • These Terms are between you and D5STUDIO LLC only, and not with Apple Inc. or Google LLC (each a "Store Provider"). The Store Providers are not parties to these Terms.
  • We, not the Store Providers, are responsible for maintenance and support of the app.
  • To the maximum extent permitted by law, the Store Providers give no warranty of any kind for the app. If the app fails to conform to any applicable warranty, you may notify the Store Provider and request a refund under its rules; beyond that, the Store Providers have no other warranty obligation.
  • We, not the Store Providers, are responsible for addressing product liability claims, legal compliance claims and third-party intellectual property infringement claims relating to the app, subject to the limitations in Section 15.
  • Export control and sanctions: you represent and warrant that you are not located in a country subject to a US Government embargo or designated by the US Government as a "terrorist supporting" country, and that you are not listed on any US Government list of prohibited or restricted parties.
  • Apple Inc., Google LLC and their subsidiaries are third-party beneficiaries of this section and, upon your acceptance of these Terms, have the right to enforce it against you as a third-party beneficiary.

20. General

  • Severability: if any provision is held invalid or unenforceable, it will be modified to the minimum extent necessary and the remaining provisions continue in full force.
  • No waiver: failure or delay in exercising a right is not a waiver of it.
  • Entire agreement: these Terms, together with the Privacy Policy and the in-product season rules, are the entire agreement between us about the service and supersede all prior discussions. In case of conflict these Terms prevail; season rules apply only to league operational detail.
  • Assignment: you may not assign these Terms without our prior written consent; we may assign them in a merger, acquisition or sale of all or substantially all assets.
  • Force majeure: we are not liable for delay or failure to perform caused by events beyond our reasonable control, including natural disaster, public-health events, war, industrial action, or network or third-party service outages (including Apple, Google and Firebase).
  • Notices: we may give you notice through in-app messages, the notification centre or your registered email, effective when sent. Keep your contact details accurate.
  • Language: these Terms are provided in Chinese and English. If the two versions conflict, the English version controls, except where local law requires the local-language version to prevail.

21. Changes and Termination

We may update these Terms. Material changes will be announced at least 14 days before they take effect, by in-app notice or email, and the effective date at the top of this page will be updated. Continuing to use the service after the change takes effect means you accept it; if you do not accept, stop using the service and delete your account. We keep prior versions and can provide them on request. Changes to the arbitration provision in Section 17 do not apply to disputes formally raised before the change took effect.
